This Customer Contract together with the Enrollment Authorization and your welcome letter or email ("Welcome Confirmation") and any amendments to these documents from time to time, are an agreement (collectively, the “Agreement”) for competitive retail electric service between you ("Customer" or "you") and Inspire Energy Holdings, LLC ("Inspire," “we,” or “us”). Your electric distribution utility (“EDU”) and provider of last resort is Duke Energy Ohio.
1. Background. Inspire is certificated by the Public Utilities Commission of Ohio (“Commission” or “PUCO”) to offer and supply competitive retail electric service in Ohio. Inspire's PUCO certificate number is 15-963E(1). Generation prices and charges are set by Inspire, the competitive retail electric service provider you have chosen. The PUCO regulates distribution prices and services. The Federal Energy Regulatory Commission regulates transmission prices and services. You will receive a single bill from your EDU that will contain your EDU’s charges and Inspire's charges.
2. Your Right to Rescind. You have up to seven calendar days from the postmark of the EDU’s confirmation notice to cancel or rescind the contract without penalty and can do so by contacting the EDU orally, electronically or in writing. You may also discuss your decision to rescind by contacting Inspire by phone toll-free at 866-403-2620, Monday – Friday 9AM – 6PM ET, or by email at help@inspirecleanenergy.com, or by mail to Inspire Energy Holdings, LLC, 923 Haddonfield Road, Suite 300, Cherry Hill, NJ 08002.
3. Definitions.“kWh” means kilowatt hour, which is a measurement of your electricity usage
“PJM” means PJM Interconnection, LLC (or its successor), which operates an electric transmission system in all or part of Delaware, Illinois, Indiana, Kentucky, Maryland, Michigan, New Jersey, North Carolina, Ohio, Pennsylvania, Tennessee, Virginia, West Virginia and the District of Columbia (“PJM Region”).
4. Service Charges.
Basic Service Charges
Variable Price Agreement – Your price for the initial month is the price per kWh described in the Contract Summary. An introductory price may also continue beyond the first month and up to three months, as described in the Contract Summary. After the first month, but not more frequently than monthly, and with no advance notice we may increase or decrease your rate as wholesale market prices change in PJM Markets to include, but not limited to: the cost to supply electricity in the PJM market (including energy, capacity, settlement, ancillary services, renewable energy, charges for delivering electricity over a distribution system to the home or business from the transmission system and other PJM market-related factors); applicable fees, charges, costs and expenses; expected margins; competitive prices and other market and business conditions. If, due to a change in market conditions, Inspire wishes to raise or lower the price per kWh charged under this Agreement, it may do so without consent provided there are no other changes to the terms and conditions of the Agreement.
The rate per kilowatt-hour for this product, as modified from time to time, shall be all-inclusive of energy, capacity, congestion, settlement, ancillaries, and all other charges we incur to provide competitive retail electric service to you, including estimated gross receipts tax and other taxes. The price may be higher than your EDU's supply rate. Inspire does not guarantee any savings over the EDU's rates for the entire term of this Agreement. There are no applicable price ranges or ceilings. The price does not include EDU charges, including, but not limited to, EDU delivery and distribution charges, which are separate amounts that you must pay your EDU. The amount of any other recurring or nonrecurring charges from Inspire are set forth herein. Also, all restrictions, limitations, contract contingencies, conditions precedent are set forth herein.
Non-Basic Service Charges.
Pass-Through Charges. In addition to these Basic Service Charges, you may be responsible for paying any additional or increased fees or charges imposed by law, regulation, tariff, act of the PUCO or FERC, or other such events beyond Inspire's reasonable control including, but not limited to, charges related to switching, disconnecting, reconnecting, transmission, distribution, delivery, uplift, congestion, maintenance of electric service or equipment, service charges, and rate structure. These charges or fees may be passed through to you and added to your price regardless of price structure.
5. Duration of Agreement. You will buy your competitive retail electric service for the street address specified in your enrollment authorization from Inspire beginning on the date set by your EDU (which will be the first billing cycle upon which your EDU is able to complete your service switch) and service will continue for the length of the agreement specified in the Contract Summary above. If you do not enter into a new agreement with Inspire, or you do not take action to switch to another supplier or move back to default service with your EDU, service will automatically continue on a month-to-month basis under the same terms and conditions.
6. Cancellation Provisions. You may cancel your service under this Agreement at any time for a cancellation fee of $$0.00, including if you move outside of Inspire’s service area or into an area where Inspire charges a different price. Cancellation is effective on the date that your EDU has switched your account from Inspire. To cancel this Agreement, please contact Inspire by phone, email, or mail at the contact information contained in this Agreement. If your EDU terminates your electric distribution service, this Agreement will be automatically cancelled. If you fail to make timely payment of Inspire charges or fail to meet any agreed upon payment arrangements, Inspire may terminate the contract with at least fourteen calendar days' written notice. Inspire may cancel this Agreement if at some future date there is a change in any law, regulation, market rule, or tariff that materially impairs Inspire's ability to fulfill its obligations under this Agreement. We will follow applicable rules in providing notice to you if we intend to cancel this Agreement for either of the reasons specified in (i) or (ii) above. Inspire reserves the right to cancel this Agreement, in whole or with respect to any particular account(s) covered by this Agreement, at any time for any reason and we will follow applicable rules in providing you notice of this intent. Cancellation is effective upon the date as deemed effective by the EDU, after any applicable notice period, and you will be responsible for unpaid balances as of the cancellation date, until your account is paid in full, and will assess a cancellation fee of $$0.00. If you switch your service to your EDU you may or may not be served under the same rates, terms, and conditions that apply to other customers served your EDU. Upon service cancellation or termination, Inspire may apply any deposit accepted to the final bill. Inspire will promptly refund any remaining deposit thereafter. For any remaining overdue balances, Inspire may pursue collection actions.
Cancellation of Existing Service - You are responsible for canceling any agreements with other electric suppliers from whom you are purchasing electric service as of the date of this Agreement.
7. Environmental Disclosure. Typical grid power in your region is produced mostly from fuels like coal, oil, and gas. Inspire ensures that electricity equal to 100% of your electricity usage is produced by renewable power generation facilities located in the United States.
Electricity is the product of a mix of generation energy sources that is delivered over a system of wires. You will not have electricity from a specific generation facility delivered directly to your service address, but Inspire ensures that the applicable percentage of your electricity usage is offset by the generation of energy from renewable resources on an annual basis. Inspire does so by purchasing and retiring 'renewable energy attributes' or 'renewable energy certificates' representing the environmental attributes associated with the applicable amount of renewable energy generation from the renewable sources specified for your product. Your purchase helps support the development and operation of renewable energy in the areas specified for your product. Inspire may take up to three months following the close of a calendar year to make up any deficiency in the renewable resource content for this product. Information on generation energy sources for your product is available on the following webpage, updated on a quarterly basis: https://www.helloinspire.com/oh-environmental-disclosure.
8. Penalties, Fees and Exceptions. There is a customer service charge of $0.00/Month and a cancellation fee of $0.00. Your EDU may have a switching charge.
9. Special Terms and Conditions: Rewards Program. To the fullest extent permissible under applicable law, you are solely responsible for securing any consents, authorizations, or other permissions of any kind that may be reasonably required in order to install and use the Inspire smart thermostat at the premises in which you desire to install and use such the Inspire smart thermostat. Without limiting the generality of the foregoing, and for purposes of clarity, to the fullest extent permissible under applicable law, you agree that Inspire is not liable to you or anyone else if your installation and use of the Inspire Smart Thermostat at the premises in which you have installed and/or used such thermostat does or may violate in any manner the rights of any third-party (such as, by way of example and without limitation, the owner of the premises or any other tenant) or your agreements with any third-party (such as, by way of example and without limitation, your rental or lease agreement). Please keep the thermostat that will be replaced by the Inspire smart thermostat. Should you move, free of charge, Inspire will (1) re-install the thermostat that was replaced, (2) install the Inspire smart thermostat in your new dwelling should you move to a location within Inspire service territory; and (3) waive any applicable cancellation fee should you move outside Inspire service territory. Please refer to your Welcome Confirmation regarding your rewards program, if applicable. If you cancel this Agreement prior to the end of your second billing cycle, you may forfeit some or all of the rewards described in your Welcome Confirmation.
10. Creditworthiness, Billing and Payment. You will receive one monthly consolidated bill from your EDU each billing cycle for the electric and related services provided by Inspire and the distribution and other services provided by your EDU. You will make payment for all of these services directly to your EDU in accordance with the payment terms stated in your EDU's tariffs. Past due charges may incur late fees as set forth in your EDU’s tariffs. Failure to pay your electricity bill may result in being disconnected in accordance with your EDU’s tariffs. In the event your EDU charges Inspire for services related to your account, Inspire reserves the right to bill you for these charges. Information regarding estimated bills and any payment programs, including deferred payments will be provided by your EDU. You have the right to request from Inspire, twice within a 12-month period, up to 24 months of your payment history without charge.
Inspire may establish your creditworthiness by credit check, deposit, guarantor, or other legal practices. Inspire may accept a deposit at any time in accordance with the terms of this agreement. If Inspire accepts a deposit, the deposit will be for the amount specified above in the Contract Summary and Inspire will provide a receipt within ten business days of collecting the deposit. No interest will accrue on any deposit made. If Inspire accepts a guarantor to establish creditworthiness under this Agreement, the guarantor must meet creditworthiness criteria and will be required to sign a guarantor agreement.
Inspire will refund any deposit collected within seven business days if you cancel the Agreement during the rescission period. If the Agreement is terminated, any deposit collected will be applied to the last bill’s balance, with any excess refunded to you.
11. Title and Taxes. Title to, control of, and risk of loss of the electricity sold under this Agreement will pass from Inspire to Customer when it is delivered to Customer’s EDU. Customer and Inspire will indemnify and hold the other harmless from any and all claims (including claims for personal injury, death, or property damage), losses, fees, taxes, damages, suits, causes of actions and judgments of any kind arising hereunder while title and risk of loss are vested in the indemnifying party. You will be responsible for the payment of all transfer, sales or other taxes related to Inspire’s service under this Agreement. If you are exempt from any such taxes, you are responsible for identifying and requesting such exemption from the collection of taxes by filing appropriate documentation with Inspire and/or your EDU, as applicable. You must also pay all applicable federal, state, and local taxes and charges.
12. Contact Information/Customer Complaints. If you have a question about your bill or service, you may contact Inspire (see Inspire Contact Information below). If you are not satisfied with the response from Inspire’s Customer Care representative, you may ask that your questions be referred to an Inspire supervisor, who will respond promptly. If your complaint is not resolved after contacting Inspire or your EDU, or for general utility information, residential and business customers may contact the PUCO for assistance at 1-800-686-7826 (toll-free) from eight a.m. to five p.m. weekdays, or at http://www.puco.ohio.gov. Hearing or speech impaired customers may contact the PUCO via 7-1-1 (Ohio relay service). The Ohio Consumers' Counsel (“OCC”) represents residential utility customers in matters before the PUCO. The OCC can be contacted at 1-877-742-5622 (toll free) from eight a.m. to five p.m. weekdays, or at http://www.pickocc.org. Contact information for default service providers can be found in Sections 13 and 26 below.
13. Power Outages and Emergencies. In an electrical emergency or a power outage, immediately contact your EDU using the phone numbers below:

Inspire’s aggregate liability arising out of or related to this Agreement shall not exceed the amount of your payments made under this Agreement. TO THE MAXIMUM EXTENT PERMITTED BY LAW AND EXCEPT WHEN A REMEDY OR MEASURE OF DAMAGES IS EXPRESSLY HEREIN PROVIDED, INSPIRE’S LIABILITY SHALL BE LIMITED TO ONLY THE DIRECT ACTUAL DAMAGES AND SUCH DIRECT ACTUAL DAMAGES SHALL BE THE SOLE AND EXCLUSIVE REMEDY AND ALL OTHER REMEDIES OR DAMAGES AT LAW OR IN EQUITY ARE WAIVED INCLUDING, BUT NOT LIMITED TO, ANY CONSEQUENTIAL, INCIDENTAL, PUNITIVE, EXEMPLARY OR INDIRECT DAMAGES, LOST PROFITS, BY STATUTE, IN TORT OR CONTRACT, UNDER ANY INDEMNITY PROVISION OR OTHERWISE. IT IS THE INTENT OF CUSTOMER AND INSPIRE THAT THE LIMITATIONS HEREIN IMPOSED ON REMEDIES AND THE MEASURE OF DAMAGES BE WITHOUT REGARD TO THE CAUSE OR CAUSES RELATED THERETO, INCLUDING THE NEGLIGENCE OF ANY PARTY, WHETHER SUCH NEGLIGENCE BE SOLE, JOINT OR CONCURRENT, OR ACTIVE OR PASSIVE. TO THE EXTENT ANY DAMAGES REQUIRED TO BE PAID HEREUNDER ARE LIQUIDATED, CUSTOMER AND INSPIRE ACKNOWLEDGE THAT THE DAMAGES ARE DIFFICULT OR IMPOSSIBLE TO DETERMINE, OTHERWISE OBTAINING AN ADEQUATE REMEDY IS INCONVENIENT AND THE LIQUIDATED DAMAGES CONSTITUTE A REASONABLE APPROXIMATION OF THE HARM OR LOSS.
15. Binding Effects; Assignment. This Agreement shall extend to and be binding upon Inspire’s respective permitted successors and permitted assigns. You may not assign this Agreement without Inspire’s prior written consent and any such attempted assignment without consent shall be void. Inspire may sell, transfer, pledge, encumber or assign the accounts receivable and revenues derived from this Agreement (or any proceeds thereof) in connection with any financing agreement, purchase of receivables program or other billing services arrangement. In addition, Inspire may assign the rights and obligations hereunder consistent with applicable law.
16. Force Majeure. YOU AGREE THAT EVENTS OF FORCE MAJEURE MAY RESULT IN INTERRUPTIONS IN SERVICE AND THAT WE WILL NOT BE RESPONSIBLE FOR SUPPLYING ELECTRICITY TO YOU AND WE WILL NOT BE LIABLE FOR THOSE INTERRUPTIONS. YOU AGREE THAT OUR LIABILITY NOT EXCUSED BY REASON OF FORCE MAJEURE OR OTHERWISE WILL BE LIMITED TO DIRECT ACTUAL DAMAGES ONLY AND AS SPECIFIED IN SECTION 14 OF THIS AGREEMENT; AND NEITHER OF US IS LIABLE TO THE OTHER FOR CONSEQUENTIAL, INCIDENTAL, PUNITIVE, EXEMPLARY OR INDIRECT DAMAGES. WE MAKE NO REPRESENTATIONS OR WARRANTIES AND WE EXPRESSLY DISCLAIM ALL OTHER WARRANTIES, WRITTEN OR ORAL, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
17. Severability. Each provision of this Agreement is made subject to the maximum extent permitted by law and if any of the provisions, or portions or applications hereof are held to be unenforceable or invalid by any court of competent jurisdiction, Inspire and Customer shall negotiate an equitable adjustment to or amendment of the affected provisions with a view toward effecting the purpose of this Agreement, and the validity and enforceability of the remaining provisions, or portions or applications hereof or thereof, shall not be affected thereby.
18. GOVERNING LAW AND VENUE. This agreement shall be governed by and construed in accordance with the laws of the State of Ohio without regard to the application of its conflicts of the law principles. ANY DISPUTE ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL BE BROUGHT, AS PERMITTED BY OHIO LAW, BEFORE A COURT IN OHIO OR BROUGHT BEFORE A REGULATORY BODY IN OHIO HAVING JURISDICTION OVER THE LITIGATION OR PROCEEDING. THE RIGHT TO TRIAL BY JURY IS IRREVOCABLY WAIVED.
19. Other Provisions. This Agreement supersedes all prior agreements between us, either written or oral. This Agreement is subject to any Law enacted during the term of this Agreement. “Law” means any law, legislation, statute, regulation, rule, tariff, decision, writ, order, decree or judgment, or any interpretations by any court, agency or instrumentality that has jurisdiction. You may not assign this Agreement, in whole or in part, or any of your rights or obligations under this Agreement without our prior written consent. Inspire may, without your consent: (i) assign, sell or pledge this Agreement or its accounts, revenues or proceeds, as a part of any financing or other financial arrangements, purchase of receivables program or billing services agreement; or (ii) assign this Agreement to an affiliate of Inspire; or (iii) assign this Agreement to any other person or entity succeeding to all or a substantial portion of the assets of Inspire or a competitive electricity supplier licensed to do business in Ohio. This Agreement is binding upon the parties and their respective successors and assigns. There are no third-party beneficiaries to this Agreement. Customer consents to receive all notices concerning this Agreement via email, except as prohibited by law. Customer shall provide Inspire with Customer’s current email address and notify Inspire of any changes to Customer’s email address.
20. Customer Information Release Authorization. By entering into this Agreement, you agree that your EDU may release to us certain information that we need to provide service to you, including your address, telephone number, account number(s), consumption history, payment history, billing determinants and peak electricity demand and that Inspire may share information about your account with any designated rewards partner to the extent necessary and permitted by law, in order to administer the rewards program consistent with the privacy policy of Inspire. We reserve the right to share information with our affiliates, to the extent permitted by law, but we will not distribute or sell your personal information to any unaffiliated party without your consent unless we are required to do so by law or it is necessary to enforce the terms of this Agreement or to allow you to receive any rewards described in the Welcome Confirmation. Inspire is prohibited from disclosing your social security number or your account number(s) without your consent except for our own collections and credit reporting, participation in programs funded by the universal service fund pursuant to Section 4928.52 of the Revised Code, or assigning your contract to another provider.
21. Use of Information. To the extent permitted by law, you agree that Inspire may share your information with Inspire’s subsidiaries and/or affiliates, your utility, and any service vendor or others Inspire uses to support our business, including any third-party entities with whom we have relationships. You may rescind these authorizations and restrict the release of your information by contacting us by phone at 866-403-2620.
22. Regulatory Changes. If there is a future change in any applicable law, rule, regulation, order, filed tariffs, market rules or pricing structure whereby Inspire is prevented, prohibited or frustrated from carrying out the terms of this Agreement, in its sole discretion Inspire will have the right to cancel this Agreement by giving notice to you as required under applicable law. If there is a future change in any applicable law, rule, regulation, order, filed tariffs, market rules or pricing structure, or in charges or new charges, imposed by your EDU, PJM, the PUCO or FERC or any governmental agency, whereby Inspire incurs additional charges or costs as a result of such changes, then Inspire will have the right in its sole discretion to (i) propose to adjust your price to reflect such additional charges or costs to Inspire by providing the written notice, if required by applicable law, and (ii) if you do not accept such proposed price change, cancel this Agreement by giving notice to you as required under applicable law.
23. Amendments. If, at any time after receipt of your Welcome Confirmation, Inspire changes the material terms of this Agreement, you will be notified of such changes and you will be provided a copy of or website link to access the updated terms. We will send written notice(s) in accordance with the PUCO rules. We will explain your options in these advance notice(s). However, in no event shall Inspire be permitted to change the waiver of jury trial provision contained herein with respect to Customer or Inspire and, Customer’s continued receipt of service from Inspire after such change, shall be deemed to be an acknowledgement of such updated Agreement. For the avoidance of doubt, in no event shall any such updated version of the Agreement change, alter, amend or otherwise be construed to mean that the mandatory nature of the waiver of jury trial provision contained herein is changed.
24. Universal Service Program. Your EDU has programs available to customers who are on a limited or fixed income to assist them with utility bills. Some of these programs might include bill payment assistance and weatherization services. Information on your EDU’s Universal Service Program can be obtained by contacting your EDU. Inspire does not offer budget billing for the generation portion of your bill.

25. Forward Contract. Customer and Inspire agree that this contract shall constitute a forward contract within the meaning of the U.S. Bankruptcy Code, and that Inspire is a forward contract merchant within the meaning of the U.S. Bankruptcy Code.
